It appears the original contract didn't have sufficient provisions for the current situation and now there is not a defined course of action. In the perfect world both parties try to find an amicable path but when one or both get pissed it gets dirty. Bcoach, I think your point was that each party should act in good faith "The schools should pay no more than what the contract says, but should also pay no less." which is ideal but what if one party doesn't then what do you do? If everybody ALWAYS acted in good faith we would not need legal contracts. Contracts are meant for two purposes, 1) to provide a written guideline/reference of how the relationship should work even in good times, and 2) What happens when there is a problem. Now there is a problem and, to boot, CUSA feels jilted.

IMO, the CUSA management did a really bad job of managing the conference. For me the simple fact that there was a MASS exodus of its members proves that point. I have said all along that their business model of "big market schools" vs "schools with proven support" would not work. We are seeing their business model sink like the Titanic in front of our eyes.

Well 30 years ago I would have relied on good faith. No more. It must be in the contract and you do exactly what the contract says. Now if you have a poorly written contract that is a whole different thing as we have seen ourselves. That is also a shame on you though for accepting a poorly written contract. If that is the case here then they are both at fault. Don't sign it if you don't like it. None of what I am saying though means in any way that I disagree with you..

From what I understand (from Marshall posters on the CSNbbs message board) is that Marshall fans don't believe they did sign it. IE certain terms that CUSA is trying to enforce were adopted into the bylaws after they signed and Marshall did not sign addendums.

The minutes of the meeting will show the bylaws being adopted , or not.If the vote was approved by their rules,whatever they are,signatures are moot....unless the by laws state otherwise.

C-USA has already broken the bylaws. Not sure they have the power to pick and choose when to follow them and when it is ok not to. If they broken them in the past, how do you hold another party to them.

I have no knowledge of who has done what but if their practice has been to "pick and choose",you are correct , they have a weak position indeed.
